ACRA Compliant · Legally Protected · Full Nominee Agreement
Every Singapore Company Needs a Nominee Director
Singapore’s Companies Act requires every company to have at least one director who is ordinarily resident in Singapore. For foreign entrepreneurs, overseas companies, and holding vehicles with no local staff, Savvilio provides a qualified Singapore-resident nominee director, legally structured with a clear nominee agreement, so you retain full operational control while meeting your statutory obligation.
Who Needs a Nominee Director
Four Situations Where a Singapore Nominee Director Is Needed
A nominee director is not required in every case, but it is the only solution in these four common situations for foreign businesses and overseas companies incorporating or operating in Singapore.
Foreign Founders Without a Local Director
If none of your directors live in Singapore, ACRA will not approve your company incorporation. A nominee director removes this barrier and allows you to incorporate immediately, even if you are based overseas.
Founders Awaiting Employment Pass Approval
Employment Pass processing takes 3 to 8 weeks. A nominee director lets you incorporate your company now and begin operations while the EP application is in progress. The nominee is removed once your EP is approved.
Holding Companies and SPVs With No Local Staff
A Singapore entity used as a holding vehicle or special purpose vehicle (SPV) for ASEAN subsidiaries typically has no local employees. A nominee director fulfils the residency requirement without requiring anyone to relocate to Singapore.
Companies That Have Lost Their Resident Director
If your existing resident director resigns, passes away, or loses their residency status, your company must replace them immediately. Operating without a resident director creates personal liability exposure for shareholders and can trigger ACRA enforcement.
What We Cover
Nominee Director Services Full Scope of Savvilio's Engagement
Savvilio’s nominee director service covers the appointment, legal documentation, and ongoing compliance support required to keep your company’s resident director obligation correctly maintained at all times.
Qualified Resident Director Appointment
We appoint a qualified Singapore-resident individual (Singapore citizen or permanent resident) as your nominee director. The director is appointed via the formal ACRA process, with the appointment lodged via Bizfile within the required 14-day window. We confirm the appointment in writing once ACRA records are updated.
Nominee Director Agreement
A formal nominee director agreement is signed between Savvilio and the company before the appointment takes effect. The agreement defines the nominee's role as statutory compliance only, limits their authority, prevents them from signing documents or making management decisions, and includes indemnity provisions protecting both the nominee and the business owner.
Statutory Filings and ACRA Record Updates
All ACRA filings associated with the director appointment are handled accurately and on time. This includes the director appointment notice, consent to act as director, and any subsequent updates to ACRA records such as address changes or re-designation. We monitor the record and flag any compliance issues before they become penalties.
Governance Protocols and Compliance Oversight
We put clear governance protocols in place from day one, ensuring the nominee director arrangement is structured to fully comply with the Companies Act and ACRA requirements. Our engagement includes a review of any existing board resolutions or director-related documents to ensure consistency with the nominee arrangement.
Transition Support When You Are Ready to Remove the Nominee
When you obtain your Employment Pass, appoint a local director, or no longer need the nominee arrangement, we handle the transition filing with ACRA. The cessation filing must be submitted within 14 days of the change. We coordinate the appointment of your replacement director and file the cessation simultaneously to avoid any period without a resident director.
Annual Renewal and Ongoing Monitoring
The nominee director arrangement is renewed annually. We proactively contact you 30 days before the renewal date and confirm whether the arrangement should continue or whether you are ready to replace the nominee with a permanent resident director. We also monitor your company's ACRA profile for any compliance alerts throughout the year.
ACRA Requirements
Nominee Director Requirements Under Singapore Law (Companies Act, Section 145)
Singapore’s Companies Act imposes specific requirements on every Singapore-incorporated company regarding its directors. The table below summarises the key requirements relevant to nominee director arrangements.
-
Who qualifies as "ordinarily resident"
Must be a natural person (not a corporate entity). Must be ordinarily resident in Singapore, defined as a Singapore citizen, a Singapore permanent resident, or the holder of a valid Employment Pass, EntrePass, or Dependant Pass with a Letter of Consent.
-
Minimum number of resident directors
Every Singapore company must have at least one director who is ordinarily resident in Singapore at all times. There is no maximum limit on the number of directors a company can have, and foreign individuals can serve as additional directors alongside the nominee.
-
ACRA appointment filing deadline
The director's appointment must be notified to ACRA via Bizfile within 14 days of appointment. Late filings attract penalties. Savvilio files the appointment notice promptly after the nominee agreement is signed and the onboarding process is completed.
-
Nominee director agreement
Not legally required by the Companies Act, but strongly recommended. A formal agreement defines the nominee's scope, limits their authority to statutory compliance only, prevents them from acting as a bank signatory or signing agreements, and includes indemnity provisions protecting both parties. Savvilio includes this agreement as standard.
-
Director's statutory duties
A nominee director has the same legal duties as any other director under the Companies Act. This includes fiduciary duties (acting in the best interests of the company), duty to act with reasonable care and diligence, duty to avoid conflicts of interest, and duty not to make improper use of company information or position. These duties cannot be contracted away by the nominee agreement.
-
Cessation filing requirement
When the nominee director is removed or resigns, the cessation must be notified to ACRA within 14 days. A replacement resident director must be in place before the nominee is removed. Operating without a resident director, even briefly, is a Companies Act violation and can trigger personal liability.
-
Director's minimum age
A director must be at least 18 years old and must not be an undischarged bankrupt. Savvilio's nominee directors are experienced corporate professionals who meet all statutory requirements.
Role Clarity
What a Nominee Director Can and Cannot Do
The most common concern about nominee director arrangements is whether the nominee has any actual power over your business. The answer depends entirely on how the arrangement is structured. Under Savvilio’s engagement, the nominee’s role is narrowly defined in writing from the start.
✓ The Nominee Director CAN
✓ Be listed as a director on ACRA records to fulfil the residency requirement
✓ Sign resolutions required specifically by ACRA for statutory compliance
✓ Receive ACRA notices on behalf of the company in their director capacity
✓ Provide the consent to act as director required for the ACRA appointment filing
✓ Attend an AGM if required, with authority strictly limited to statutory matters
✓ Review annual accounts and financial statements in the director's statutory review capacity
✗ The Nominee Director CANNOT
✗ Make any management or operational decisions about your business
✗ Act as a bank signatory or authorise any financial transactions
✗ Sign commercial contracts, agreements, or other binding documents on your behalf
✗ Hire, dismiss, or instruct your employees or contractors
✗ Represent the company to third parties outside of a statutory filing context
✗ Access your company's bank accounts, records, or proprietary information beyond what the nominee agreement permits
SImportant: Fiduciary Duty Applies to All Directors
Even with a restrictive nominee agreement in place, a nominee director still owes fiduciary duties to the company under the Companies Act. If the company trades while insolvent, breaches regulatory obligations, or acts illegally, the nominee director may face personal liability alongside other directors. This is why Savvilio’s engagement requires the company to maintain compliance and solvency at all times, and why we include ongoing compliance monitoring as part of the service.
