Definitions<\/h2>\t\t\t\t<\/div>\n\t\t<div class=\"elementor-element elementor-element-2d607514 e-con-full e-flex e-con e-child\" data-id=\"2d607514\" data-element_type=\"container\" data-e-type=\"container\">\n\t\t\t\t<div class=\"elementor-element elementor-element-3d8888b6 elementor-widget elementor-widget-text-editor\" data-id=\"3d8888b6\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<p>1.1 &#8220;You&#8221; or &#8220;User&#8221; includes:<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-710d2e23 elementor-widget elementor-widget-text-editor\" data-id=\"710d2e23\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<ul><li>Any individual, company, or entity engaging Savvilio\u2019s services.<\/li><li>Any representative, director, shareholder, or officer acting on behalf of such a company or entity.<\/li><\/ul>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-67b380fc elementor-widget elementor-widget-text-editor\" data-id=\"67b380fc\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<p>1.2 \u201cSavvilio\u201d refers to Savvilio Singapore Pte. Ltd. and its business associates.&nbsp;&nbsp;<\/p>\n<p>1.3 &#8221; Business Associates&#8221; refers to Savvilio\u2019s affiliated entities, subsidiaries, employees, officers, partners, consultants, subcontractors, and other agents engaged by Savvilio in providing services.<\/p>\n<p>1.4 &#8221; Savvilio Services&#8221; refers to any corporate, compliance, administrative, or related business services offered by Savvilio.<\/p>\n<p>1.5 &#8220;Agreement&#8221; refers to these Terms and Conditions, along with any other documents or supplemental agreements provided by Savvilio.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t<div class=\"elementor-element elementor-element-6556cdba e-con-full e-flex e-con e-child\" data-id=\"6556cdba\" data-element_type=\"container\" data-e-type=\"container\">\n\t\t\t\t<div class=\"elementor-element elementor-element-73ef863e elementor-widget elementor-widget-heading\" data-id=\"73ef863e\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">2. Scope of Services<\/h2>\t\t\t\t<\/div>\n\t\t<div class=\"elementor-element elementor-element-333ec969 e-con-full e-flex e-con e-child\" data-id=\"333ec969\" data-element_type=\"container\" data-e-type=\"container\">\n\t\t\t\t<div class=\"elementor-element elementor-element-24f31972 elementor-widget elementor-widget-text-editor\" data-id=\"24f31972\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<p>2.1 Savvilio provides a range of professional services, including but not limited to:<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-65c683e9 elementor-widget elementor-widget-text-editor\" data-id=\"65c683e9\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<ul><li>Company incorporation and registration<\/li><li>Corporate secretarial and compliance services<\/li><li>Bookkeeping, accounting, and financial reporting<\/li><li>Tax computation and filing<\/li><li>Payroll and HR-related services<\/li><li>Registered address and mailroom servicesNominee directorship services<\/li><li>Work pass applications and renewals<\/li><\/ul>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-7a68854d elementor-widget elementor-widget-text-editor\" data-id=\"7a68854d\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<p>2.2 Savvilio services may involve the use of secure technology and tools to streamline service delivery.<\/p><p>2.3 Savvilio does not provide legal advice or act as a law firm. Users are encouraged to seek independent legal counsel when necessary.<\/p><p>2.4 Specific services may require supplemental agreements, and Savvilio reserves the right to decline services if such agreements are not executed.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t<div class=\"elementor-element elementor-element-7e277a22 e-con-full e-flex e-con e-child\" data-id=\"7e277a22\" data-element_type=\"container\" data-e-type=\"container\">\n\t\t\t\t<div class=\"elementor-element elementor-element-28f3476d elementor-widget elementor-widget-heading\" data-id=\"28f3476d\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">3. General Obligations<\/h2>\t\t\t\t<\/div>\n\t\t<div class=\"elementor-element elementor-element-4a7e7098 e-con-full e-flex e-con e-child\" data-id=\"4a7e7098\" data-element_type=\"container\" data-e-type=\"container\">\n\t\t\t\t<div class=\"elementor-element elementor-element-1be58361 elementor-widget elementor-widget-text-editor\" data-id=\"1be58361\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<p>3.1 User Obligations:<br \/>By using Savvilio\u2019s services, You agree to:<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-7ee8a769 elementor-widget elementor-widget-text-editor\" data-id=\"7ee8a769\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<ul><li>Provide complete and accurate information and documents required for service delivery and compliance with applicable laws.<\/li><li>Ensure timely payment of all service fees and additional charges.<\/li><li>Comply with all legal and regulatory requirements associated with Your business operations.<\/li><\/ul>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t<div class=\"elementor-element elementor-element-11211ec9 e-con-full e-flex e-con e-child\" data-id=\"11211ec9\" data-element_type=\"container\" data-e-type=\"container\">\n\t\t\t\t<div class=\"elementor-element elementor-element-61d6679c elementor-widget elementor-widget-text-editor\" data-id=\"61d6679c\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<p>3.2 Savvilio\u2019s Obligations:<br \/>Savvilio will:<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-371092f9 elementor-widget elementor-widget-text-editor\" data-id=\"371092f9\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<ul><li>Perform the agreed services with professional care and diligence.<\/li><li>Savvilio, its associates, and subcontractors will use reasonable endeavors, acting in a commercially prudent manner, to carry out the services within a reasonable timeframe. Any timelines or estimates provided are for planning purposes only and are subject to change. Savvilio will notify the Client promptly if any delays are expected that may materially affect the completion of the services.<\/li><li>The services provided are not binding on governmental or regulatory authorities and do not constitute a representation, warranty, or guarantee that any regulatory authorities will concur with any advice provided. Any service rendered by Savvilio will be based upon the applicable law and regulations at the time of delivery. Subsequent changes in or to the foregoing (for which Savvilio shall have no responsibility to advise the Client) may result in the services being rendered invalid.<\/li><\/ul>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t<div class=\"elementor-element elementor-element-7e0abdca e-con-full e-flex e-con e-child\" data-id=\"7e0abdca\" data-element_type=\"container\" data-e-type=\"container\">\n\t\t\t\t<div class=\"elementor-element elementor-element-31ef16c8 elementor-widget elementor-widget-heading\" data-id=\"31ef16c8\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">4. Fees and Payment Terms<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-13dbb92a elementor-widget elementor-widget-text-editor\" data-id=\"13dbb92a\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<p>4.1 All fees for Savvilio services must be paid in advance or as specified in the invoice or agreement.<\/p><p>4.2 Fees are non-refundable unless explicitly stated in these terms or in cases of proven negligence or material breach by Savvilio.<\/p><p>4.3 Savvilio reserves the right to suspend or terminate services for non-payment and may charge late payment interest at a rate of 15% per annum for overdue amounts.<\/p><p>4.4 Users are responsible for any additional fees arising from regulatory filings, penalties, or third-party charges.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t<div class=\"elementor-element elementor-element-6265e20 e-con-full e-flex e-con e-child\" data-id=\"6265e20\" data-element_type=\"container\" data-e-type=\"container\">\n\t\t\t\t<div class=\"elementor-element elementor-element-5d2441e9 elementor-widget elementor-widget-heading\" data-id=\"5d2441e9\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">5. Fee Revision for Accounting and Tax Services<\/h2>\t\t\t\t<\/div>\n\t\t<div class=\"elementor-element elementor-element-2f7e0ab6 e-con-full e-flex e-con e-child\" data-id=\"2f7e0ab6\" data-element_type=\"container\" data-e-type=\"container\">\n\t\t\t\t<div class=\"elementor-element elementor-element-2cd9479e elementor-widget elementor-widget-text-editor\" data-id=\"2cd9479e\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<p>5.1 Annual Fee Review:<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-26469dcd elementor-widget elementor-widget-text-editor\" data-id=\"26469dcd\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<ul><li>All accounting and tax services offered to companies in their first year of onboarding are subject to fee revision upon renewal.<\/li><li>The revision will be based on actual business complexity, transaction volume, and changes in compliance requirements<\/li><\/ul>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t<div class=\"elementor-element elementor-element-3f1693a e-con-full e-flex e-con e-child\" data-id=\"3f1693a\" data-element_type=\"container\" data-e-type=\"container\">\n\t\t\t\t<div class=\"elementor-element elementor-element-2bdfb1fa elementor-widget elementor-widget-text-editor\" data-id=\"2bdfb1fa\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<p>5.2 Transaction Volume Adjustments:<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-6e81560d elementor-widget elementor-widget-text-editor\" data-id=\"6e81560d\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<ul><li>If the actual accounting or tax transaction volume exceeds the preliminary assessment made at the start of engagement, Savvilio reserves the right to revise service fees accordingly.<\/li><li>Clients will be notified in advance of any fee adjustments and will have the option to accept the revision or terminate the service before renewal.<\/li><\/ul>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t<div class=\"elementor-element elementor-element-248b14ea e-con-full e-flex e-con e-child\" data-id=\"248b14ea\" data-element_type=\"container\" data-e-type=\"container\">\n\t\t\t\t<div class=\"elementor-element elementor-element-67a31cc8 elementor-widget elementor-widget-text-editor\" data-id=\"67a31cc8\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<p>5.3 Additional Work Beyond Scope:<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-32dca120 elementor-widget elementor-widget-text-editor\" data-id=\"32dca120\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<ul><li>Any additional work beyond the agreed scope at the commencement of service, including additional financial reporting, special tax filings, or transaction corrections, may be subject to additional charges.<\/li><li>Savvilio will provide an estimate of such charges before proceeding with the work.<\/li><\/ul>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t<div class=\"elementor-element elementor-element-6b00948d e-con-full e-flex e-con e-child\" data-id=\"6b00948d\" data-element_type=\"container\" data-e-type=\"container\">\n\t\t\t\t<div class=\"elementor-element elementor-element-ad19130 elementor-widget elementor-widget-heading\" data-id=\"ad19130\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">6. Personal Data Protection<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-547599c1 elementor-widget elementor-widget-text-editor\" data-id=\"547599c1\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<p>6.1 Privacy Notice and Policy:<br \/>Savvilio\u2019s privacy notice and privacy policy are available on the website www.savvilio.com (&#8220;Website&#8221;), the terms of which apply to this engagement.<\/p><p>6.2 Consent to Processing:<br \/>The Client acknowledges that it has read and understood the privacy notice and consents to Savvilio processing and using the Client\u2019s personal data.<\/p><p>6.3 Third-Party Data:<br \/>To the extent that the Client has provided (or will provide) personal data of other individuals to Savvilio, the Client represents and warrants that it has obtained (or will obtain) their consent for the processing and use of their personal data in accordance with the privacy notice.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t<div class=\"elementor-element elementor-element-55ea041c e-con-full e-flex e-con e-child\" data-id=\"55ea041c\" data-element_type=\"container\" data-e-type=\"container\">\n\t\t\t\t<div class=\"elementor-element elementor-element-7830e70b elementor-widget elementor-widget-heading\" data-id=\"7830e70b\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">7. Termination of Services<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-6e8b1bfc elementor-widget elementor-widget-text-editor\" data-id=\"6e8b1bfc\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<p>7.1 Either party may terminate services with 30 days\u2019 written notice.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t<div class=\"elementor-element elementor-element-6dfcaf0a e-con-full e-flex e-con e-child\" data-id=\"6dfcaf0a\" data-element_type=\"container\" data-e-type=\"container\">\n\t\t\t\t<div class=\"elementor-element elementor-element-12f79c9b elementor-widget elementor-widget-text-editor\" data-id=\"12f79c9b\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<p>7.2 Savvilio reserves the right to immediately terminate services if:<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-4d86a3e0 elementor-widget elementor-widget-text-editor\" data-id=\"4d86a3e0\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<ul><li>You breach these terms or any applicable laws.<\/li><li>You fail to meet compliance or payment obligations.<\/li><\/ul>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-7574ed1a elementor-widget elementor-widget-text-editor\" data-id=\"7574ed1a\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<p>7.3 Upon termination, You will have 60 days to retrieve any records stored by Savvilio. After this period, Savvilio reserves the right to archive or delete such records.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t<div class=\"elementor-element elementor-element-10bc7b4c e-con-full e-flex e-con e-child\" data-id=\"10bc7b4c\" data-element_type=\"container\" data-e-type=\"container\">\n\t\t\t\t<div class=\"elementor-element elementor-element-3dc958a5 elementor-widget elementor-widget-heading\" data-id=\"3dc958a5\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">8. Limitation of Warranties<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-3f4318eb elementor-widget elementor-widget-text-editor\" data-id=\"3f4318eb\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<p>8.1 Savvilio warrants that it shall perform the services in good faith and with reasonable skill and care and in accordance with generally accepted professional standards.<\/p><p>8.2 The express warranties, representations, and obligations of Savvilio in this contract are made expressly in place of and to the exclusion (to the fullest extent permitted by law) of all other representations, warranties, terms, and conditions, express or implied, statutory or otherwise, relating to anything supplied or to be supplied and any service provided or to be provided by or on behalf of Savvilio under or in connection with this contract and the services.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t<div class=\"elementor-element elementor-element-745a2ee3 e-con-full e-flex e-con e-child\" data-id=\"745a2ee3\" data-element_type=\"container\" data-e-type=\"container\">\n\t\t\t\t<div class=\"elementor-element elementor-element-5f0135fb elementor-widget elementor-widget-heading\" data-id=\"5f0135fb\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">9.
